Bain Capital has acquired payroll and HR software solutions provider NGA UK from its parent company NGA Human Resources.

NGA UK services 8,500 clients and delivers services to more than five million employees across the UK and Ireland.

Under Bain’s investment, NGA UK will look to grow, which includes acquisitions. The financial terms of the proposed transaction have not been disclosed.

The UK arm’s managing director Jonathan Legdon will take up the role of chief executive officer of NGA UK. The deal is expected to close in early 2018 subject to regulatory approval.

Bain managing director Christophe Jacobs van Merlen said the firm was “excited” by the opportunity to buy NGA UK, “a market leading software business, with strong core fundamentals and significant opportunities to drive further growth.”

Goldman Sachs and Kirkland & Ellis advised NGA HR while Bain turned to Evercore and Ropes & Gray.
